• Substantial transactional work regarding defaulted assets, modification/forbearance agreements, work-out arrangements and management of the foreclosure process;
  • Assisting, in both real estate and corporate capacity, in CMBS, CDOs and other asset securitizations, including substantial interaction with rating agencies, investors and servicers, as well as “special servicing” arrangements in connection with distressed portfolios and defaulted loans;
  • Aepresenting investment banks, commercial banks and other institutional investors (both domestic and foreign) in all phases of a sophisticated national commercial real estate practice, with a concentration in real estate finance, including originations, bridge loans, future advance facilities, multi-state cross-collateralized financings, mezzanine loans, preferred equity structures, mortgage and asset portfolio purchases and sales, loan syndications and secured and unsecured revolving and term loans, covering a broad spectrum of property types and uses, including retail, office, nursing home, multifamily and hotels;
  • Drafting and negotiating a broad spectrum of related real estate documents, including contracts of sale, mortgages, loan agreements and other standard closing agreements, space and ground leases, intercreditor, co-lender and “A/B note” agreements, brokerage agreements, easements and legal opinions;
  • Additional hands-on experience with commercial leasing practice (including space and ground leases and SNDAs), as well as timeshare facilities and the creation of applicable regime documentation;
  • Extensive research of state licensing and "doing business" statutes with respect to origination, sale, purchase and servicing of mortgage loans.
